Terms of Service

These terms govern all engagements between Corigen Py and the client commissioning work. By accepting a proposal or remitting a deposit, you agree to the following.
1. Scope of Work
The scope, deliverables, timeline, and price for each engagement are defined in the written proposal. Out-of-scope changes are handled via a written change order and may affect price and timeline.
2. Intellectual Property
Upon final payment, all deliverables — including source code, documentation, and configuration — become the exclusive property of the client. Corigen Py retains the right to reference the engagement in non-confidential capability descriptions.
3. Confidentiality
Both parties agree to maintain confidentiality of all proprietary information shared during the engagement. This obligation survives termination indefinitely for trade secrets and for five (5) years for other confidential information.
4. Acceptable Use
Corigen Py will not undertake work that violates applicable law, infringes third-party rights, or is designed for malicious purposes. We reserve the right to decline or terminate engagements that conflict with this principle.
5. Warranties & Liability
Work is delivered with reasonable engineering care and warranted free of material defects during the support window. Liability is capped at the total fees paid for the engagement. We are not liable for indirect, consequential, or punitive damages.
6. Payment Terms
Invoices are due net-7 unless otherwise stated. Overdue balances accrue interest at 1.5% monthly. Source delivery is contingent on cleared final payment.
7. Governing Law
These terms are governed by the laws of the jurisdiction in which Corigen Py is incorporated. Disputes are resolved by binding arbitration where permissible.
